TERMS & CONDITIONS

These Terms & Conditions ("Terms") govern the access and use of the Bulkk X (ie. Bulkk eXchange) web and mobile application platform ("Platform"), owned and operated by SAV Agrotech LLP, a limited liability partnership incorporated under the laws of India, having its registered office at Meerut, Uttar Pradesh, India ("Bulkk X", "Company", "we", "our", or "us").

By accessing, registering on, or using the Platform, you agree to be legally bound by these Terms, along with our Privacy Policy, KYC Policy, and any other policies referenced herein.

1. DEFINITIONS

User: Any individual or entity registered on the Platform, including buyers, sellers, service providers, or partners.
Buyer: A User intending to purchase goods or services through the Platform.
Seller: A User offering goods or services through the Platform.
Transaction: Any commercial exchange initiated through the Platform.
Escrow Account: A regulated account managed through an authorized payment aggregator or banking partner to hold transaction funds temporarily.
Digital Verification: Verification of identity, business, or documents via DigiLocker, CKYC, Aadhaar-based services, or other approved methods.

2. ELIGIBILITY & REGISTRATION

2.1 Users must be legally competent to contract under Indian law.

2.2 Business Users must provide valid registration documents including but not limited to GST, PAN, CIN/LLP details, and authorized signatory proof.

2.3 Bulkk X reserves the right to approve, suspend, or terminate any account at its sole discretion.

3. PLATFORM SCOPE & ROLE

3.1 Bulkk X (Bulkk eXchange) is a technology-enabled B2B marketplace and facilitation platform. The Platform may expand to D2C services in the future, subject to updated terms.

3.2 Bulkk X does not own, manufacture, store, transport, inspect, package, or sell any goods listed or transacted on the Platform, unless explicitly stated in writing.

3.3 All goods listed, shipped, or delivered through the Platform are solely owned by the respective Sellers or Buyers, as applicable, and are not the property of SAV Agrotech LLP at any stage.

3.4 Bulkk X is not a party to the underlying sale, purchase, shipping, or logistics contract between Buyers and Sellers, except to the limited extent of providing escrow facilitation, verification, and compliance support.

4. ESCROW SERVICES

4.1 Certain transactions on the Platform may mandatorily use escrow-based payment settlement.

4.2 Escrow services are provided through RBI-authorized payment aggregators or banking partners.

4.3 Funds deposited into escrow shall be released based on predefined conditions such as:

Buyer confirmation
Delivery confirmation
Time-based auto-release
Dispute resolution outcomes

4.4 Bulkk X shall have instructional control over escrow release mechanisms but shall not be deemed the owner of funds.

4.5 Bulkk X is not liable for delays caused by banking systems, regulatory checks, or force majeure events.

5. DIGITAL VERIFICATION & KYC

5.1 Users agree to undergo digital verification using:

DigiLocker
CKYC
PAN / GST verification
Bank account verification
Any other lawful method

5.2 By consenting, Users authorize Bulkk X and its partners to access, store, and process verification data strictly for compliance and fraud prevention.

5.3 Failure to complete verification may result in restricted access, account suspension, or transaction limits.

6. FINTECH, PAYMENT & INSURANCE SERVICES

6.1 Bulkk X may integrate fintech-enabled services including but not limited to payment aggregation, escrow settlement, credit facilitation, invoice financing, and insurance enablement.

6.2 All financial and insurance services made available on the Platform are provided by third-party regulated entities, including RBI-regulated banks, NBFCs, payment aggregators, or IRDAI-licensed insurance companies and their authorised intermediaries.

6.3 Insurance Disclaimer: Bulkk X does not act as an insurance company, insurance broker, corporate agent, or intermediary. Bulkk X merely facilitates access to insurance products offered by licensed insurers or their authorised partners through technology integration or referral mechanisms.

6.4 The issuance of insurance policies, collection of premiums, underwriting, claims processing, and settlement shall be the sole responsibility of the respective insurance provider.

6.5 Bulkk X does not provide banking, NBFC, lending, wallet, or insurance services unless separately licensed under applicable laws.

7. FEES & COMMISSIONS

7.1 Bulkk X may charge:

Platform usage fees
Transaction commissions
Verification fees
Escrow facilitation charges
Subscription fees

7.2 All applicable fees shall be disclosed prior to transaction confirmation.

7.3 Fees once charged are non-refundable unless required by law.

8. USER OBLIGATIONS

Users agree:

To provide accurate and lawful information
Not to engage in fraud, money laundering, or prohibited trade
To comply with all applicable laws including GST, FEMA, IT Act, and RBI regulations

9. PROHIBITED ACTIVITIES & ILLEGAL GOODS

9.1 Users are strictly prohibited from listing, selling, purchasing, shipping, or attempting to transact any goods that are:

Illegal, unlawful, banned, restricted, or prohibited under Indian or international law
Hazardous, counterfeit, stolen, or infringing intellectual property rights
Subject to special licenses or permits unless such licenses are lawfully obtained

9.2 If any User attempts to ship, trade, or circulate illegal or unlawful goods through the Platform:

Such acts shall be entirely at the User’s own risk and liability
SAV Agrotech LLP / Bulkk X shall not be responsible or liable for any civil, criminal, regulatory, or enforcement actions arising therefrom

9.3 Users acknowledge that Bulkk X does not take custody or ownership of goods and therefore cannot verify the physical nature or legality of goods beyond documentary checks.

9.4 Any investigation, seizure, penalty, prosecution, or loss arising from illegal goods shall be the sole responsibility of the concerned Buyer and/or Seller.

10. DISPUTE MANAGEMENT

10.1 Bulkk X may provide an internal dispute facilitation mechanism.

10.2 Bulkk X’s decision in escrow-related disputes shall be procedurally final for fund release purposes, without prejudice to legal remedies.

11. INTELLECTUAL PROPERTY

All trademarks, software, content, and platform design are the exclusive property of Bulkk X.

Unauthorized use is strictly prohibited.

12. DATA PROTECTION & PRIVACY

12.1 User data is handled in accordance with the Information Technology Act, 2000 and DPDP Act, 2023.

12.2 Bulkk X implements industry-standard security measures but does not guarantee absolute security.

13. LIMITATION OF LIABILITY

13.1 SAV Agrotech LLP / Bulkk X shall not be liable for:

The quality, quantity, legality, safety, or compliance of any goods or services
Shipping, logistics, customs, or transportation-related issues
Any illegal, unlawful, or prohibited goods transacted by Users
Actions taken by law enforcement, customs, regulatory, or tax authorities

13.2 Users expressly acknowledge that goods traded on the Platform are not owned by Bulkk X, and all liabilities arising from such goods rest solely with the Users.

13.3 The maximum aggregate liability of Bulkk X, if any, shall not exceed the total platform fees received for the relevant transaction.

14. INDEMNITY

Users agree to indemnify and hold harmless Bulkk X from any claims, losses, penalties, or damages arising from User conduct or violations of these Terms.

15. TERMINATION

Bulkk X may suspend or terminate access without prior notice for:

Breach of Terms
Regulatory instructions
Suspected fraudulent activity

16. GOVERNING LAW, JURISDICTION & ARBITRATION

16.1 These Terms shall be governed by and construed in accordance with the laws of India.

16.2 Courts at Meerut, Uttar Pradesh, India shall have exclusive jurisdiction over all matters arising out of or in connection with these Terms.

16.3 Arbitration Clause: Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Meerut, Uttar Pradesh, India.
The arbitration shall be conducted by a sole arbitrator appointed by SAV Agrotech LLP.
The language of arbitration shall be English.

17. AMENDMENTS

Bulkk X reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.

By using the Platform, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

ADDITIONAL PLATFORM POLICIES (INCORPORATED BY REFERENCE)

The following policies form an integral part of these Terms & Conditions and are deemed accepted upon use of the Platform.

A. RESTRICTED & PROHIBITED GOODS POLICY

A.1 Users are strictly prohibited from listing, selling, purchasing, storing, transporting, or attempting to transact any goods that are illegal, unlawful, banned, restricted, or prohibited under applicable Indian or international laws.

A.2 Prohibited goods include but are not limited to:

Narcotics, drugs, psychotropic substances
Arms, ammunition, explosives
Counterfeit, stolen, or smuggled goods
Wildlife products, endangered species items
Hazardous waste or chemicals without permits
Goods violating intellectual property rights

A.3 Bulkk X does not physically inspect or take custody of goods. Any documentary or digital checks performed are limited to compliance facilitation only.

A.4 Any seizure, investigation, penalty, prosecution, loss, or damage arising from prohibited or restricted goods shall be the sole responsibility of the concerned User(s).

B. ESCROW & PAYMENT SETTLEMENT POLICY

B.1 Certain transactions on Bulkk X shall mandatorily use escrow-based payment settlement mechanisms.

B.2 Escrow services are provided through RBI-authorised payment aggregators or scheduled commercial banks.

B.3 Funds deposited into escrow shall be released based on predefined triggers including:

Buyer confirmation
Delivery confirmation
Auto-release after defined timelines
Dispute resolution outcomes

B.4 Bulkk X shall only have procedural and instructional control over escrow release and shall not be considered the owner, trustee, or beneficiary of escrow funds.

B.5 Bulkk X shall not be liable for delays or failures caused by banking systems, regulatory checks, technical issues, or force majeure events.

C. KYC & DIGITAL VERIFICATION POLICY

C.1 Users agree to undergo mandatory identity, business, and financial verification as required under applicable laws and platform risk policies.

C.2 Verification may be conducted through:

DigiLocker
CKYC registry
PAN, GST, CIN/LLP verification
Bank account verification
Any other lawful digital or physical method

C.3 By providing consent, Users authorise Bulkk X and its verification partners to access, process, and store verification data solely for compliance, fraud prevention, and risk management.

C.4 Failure to complete verification may result in transaction limits, suspension, or termination of access.
